The short version
- Exponential Media is a media and advertising company. We are paid to promote the companies we feature.
- Every paid promotion is labeled as sponsored content and states who paid us and how much.
- We are paid a fixed fee for each campaign. It is not tied to the stock price.
- Nothing we publish is investment advice or a recommendation to buy, sell, or hold any security.
- We do not give personalized investment advice, and we do not trade the securities we promote.
- Small-cap and micro-cap stocks are high risk. You can lose all of the money you invest.
- Do your own research and talk to a licensed financial professional before you invest.
Who we are
Exponential Media LLC ("Exponential Media," "we," "us," or "our") is a Wyoming limited liability company that provides media and advertising services.
We produce and distribute sponsored financial content about publicly listed small-cap and micro-cap companies. This includes email newsletters and social media content, along with articles, videos, digital ads, posts by creators in our network, and posts in online investor communities.
Our clients are U.S.-based advertisers and agencies. They pay us fixed fees to run investor awareness campaigns about the companies they choose.
We are an advertising business. Our content is paid promotion. It is not independent research, journalism, or analysis.
Exponential Media is not registered as a broker-dealer or investment adviser with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator. We do not manage money, handle investments for anyone, or buy or sell securities for anyone.
What this disclaimer covers
This disclaimer applies to all content Exponential Media creates, publishes, or distributes, wherever it appears, including:
- This website
- Email newsletters
- Social media posts and videos
- Articles and digital ads
- Posts made by creators and influencers we pay
- Posts in chat groups and online investor communities, such as Discord servers and Telegram groups
It applies whether the content is published under the Exponential Media name or by a partner we pay to share it. By reading, receiving, or using our content, you agree to this disclaimer.
Content about companies is paid advertising
Treat any content we create or distribute about a publicly listed company as a paid advertisement. We produce it because a client paid us to. Its purpose is to raise awareness of that company among investors.
Every paid promotion is labeled as sponsored content. Its disclosure states:
- That the content is a paid advertisement
- The name of the party that paid us
- The amount of compensation we received or will receive
Read the disclosure before you read the content. If you see content from us about a company without a clear disclosure, email admin@exponentialmedia.net and tell us where you saw it.
Section 17(b) of the Securities Act of 1933
Section 17(b) of the Securities Act of 1933 (15 U.S.C. § 77q(b)) is a U.S. federal law about paid promotion of securities. If a person publishes or circulates a communication that describes a security, and is paid to do so, directly or indirectly, by the issuer, an underwriter, or a dealer, the law requires them to fully disclose that they received or will receive payment, and the amount.
We disclose our paid promotions, including the paying party and the compensation amount, in line with Section 17(b).
A disclosure tells you that content was paid for. It does not mean the SEC or any other regulator has reviewed, approved, or endorsed the content, the featured company, or its securities.
How we are paid
- We are paid a fixed fee for each campaign. The fee is agreed with the client before the campaign starts.
- The fee does not change based on the featured company's share price, its trading volume, or whether anyone buys its stock.
- The amount of each fee is stated in that campaign's disclosure.
- The party that pays us may be the featured company, an agency, or another advertiser. The disclosure names the party that paid us.
The party that pays us may not be the featured company. It may have its own reasons for paying for a promotion, including owning shares of the company. We do not control that party, and we may not know its reasons or its holdings.
Conflicts of interest
Because we are paid to promote the companies we feature, we have a conflict of interest. Keep that in mind whenever you read our content.
- Our content is meant to present the featured company in a positive light. It does not cover everything you need to know to make an investment decision, and it may not discuss the company's risks, weaknesses, or competition.
- Our content is not balanced, objective, or independent. Do not read it as an evaluation of whether the company is a good investment.
- We may run campaigns for several companies at once, including companies in the same industry, and we may promote the same company more than once for separate fees.
- The featured company, its officers, directors, and shareholders, and the party that paid us may buy or sell the company's shares at any time, including before, during, and after a campaign. We do not control their trading and may not know about it.
- Large sales of shares during or after a promotion can push the share price down quickly.
- Creators, influencers, and community operators who share our sponsored content are paid to do so.
We do not trade the securities we promote
Exponential Media does not buy, sell, or trade the securities of the companies it promotes. We earn our fee from advertising, not from trading the stocks we feature.
This applies to Exponential Media only. Other parties, including the featured company, its insiders, the party that paid us, creators we work with, and other readers, may own or trade those securities.
Not investment advice
Nothing we create, publish, or distribute is investment, financial, legal, tax, or accounting advice. It is not a recommendation to buy, sell, or hold any security, and it is not an offer to sell or a solicitation of an offer to buy any security.
We do not give personalized investment advice. We do not know your finances, goals, experience, or tolerance for risk, and our content does not take them into account. We cannot tell you whether a stock is right for you, and we will not answer requests for personal investment advice.
Any decision to buy, sell, or hold a security is yours alone. Before you invest, read the company's own filings and talk to a licensed financial professional who knows your situation.
The risks of small-cap and micro-cap stocks
The companies we promote are small-cap and micro-cap companies, and their stocks carry a high level of risk. Before you invest, understand that:
- You can lose some or all of the money you invest.
- Prices can rise or fall sharply in a short time, sometimes within minutes.
- Trading volume can be low, so you may not be able to sell when you want to, at the price you want, or at all.
- The gap between the price buyers pay and the price sellers receive can be wide.
- Some companies have little or no revenue, a short operating history, or ongoing losses, and may need to raise money often.
- Raising money often means issuing new shares, which can reduce the value of existing shares.
- Less information may be publicly available, and some companies that trade over the counter are not required to file reports with the SEC.
- Trading can be halted or suspended, and a stock can be delisted.
- Small-cap and micro-cap stocks are frequent targets of fraud and price manipulation, including "pump and dump" schemes.
Paid promotions, including ours, can bring a burst of attention to a stock. Any rise in price or trading volume during a promotion may not last, and prices can fall sharply when a promotion ends. Never buy a stock just because it is being promoted.
Information sources and accuracy
Our content is based on information from the featured company, such as its press releases, filings, and presentations, along with information from the client that paid us and from other public sources. We do not independently verify all of this information, and we do not audit any company.
Our content may contain errors or leave out important facts. Stock prices, market values, charts, and other market data may come from third-party providers and may be delayed or wrong. We do not guarantee that any information is accurate, complete, or current.
Content reflects information available on the day it was published. We have no obligation to update it, and we may not tell you when information changes.
Forward-looking statements
Our content may include forward-looking statements. These are statements about future events, plans, or results, and they often use words such as "expects," "plans," "anticipates," "believes," "intends," "estimates," "may," "could," or "will."
Forward-looking statements are not facts or promises. They are based on assumptions and involve risks and uncertainties, and actual results may differ materially. Many come from the featured company itself, so read the risk factors in the company's own filings. We do not update forward-looking statements.
Past performance and examples
Any past stock price movement, return, or campaign result mentioned in our content does not indicate future results.
The sample charts and campaign reports on this website are illustrative only. They do not show real client results, real campaign results, or the performance of any real stock.
Creators, influencers, and chat groups
We work with finance creators, influencers, and online investor communities to share sponsored content. When they share a paid promotion for us, it is disclosed as sponsored content.
- A creator sharing sponsored content is being paid. They are not giving you personal investment advice.
- Opinions a creator or community member shares outside our sponsored content are their own, and we do not endorse them.
- Messages from other members in chat groups and communities are not from us. Members may own the stocks they talk about, may be paid by others, and may not be who they say they are.
- Be careful with anyone who promises returns, says a price is about to jump, or pressures you to buy fast.
Beware of impersonators
Exponential Media does not manage money, take money from investors, or sell securities. We will never ask you to send us money to invest, to share your brokerage or bank login, or to buy a stock through us.
If someone claims to represent Exponential Media and asks for money, account details, or personal financial information, do not respond. Report it to admin@exponentialmedia.net. You can also report suspected securities fraud to the SEC.
Do your own research
Before you invest in any company we feature:
- Read its filings, such as annual reports (Form 10-K), quarterly reports (Form 10-Q), and current reports (Form 8-K), on SEC EDGAR.
- If it trades over the counter, check its market tier and disclosure status on OTC Markets.
- Check whether it is current in its required filings and whether its trading has ever been suspended.
- Check any broker or adviser you work with on FINRA BrokerCheck.
- Read the SEC's Microcap Stock: A Guide for Investors, its investor alert on fraudulent stock promotions, and its alert on stock recommendations on investment research websites. More free resources are on Investor.gov.
- Talk to a licensed financial professional who knows your situation.
- Only invest money you can afford to lose.
No offer or solicitation
Nothing in our content is an offer to sell, or a solicitation of an offer to buy, any security in any place. Our content is not directed at anyone in a place where publishing or receiving it would be against the law. If that applies to you, do not use or act on it.
Third-party content and links
Our content may link to or include material from others, such as the featured company's website, its filings, news articles, and market data providers. We do not control that material and are not responsible for it. A link is not an endorsement.
Limitation of liability
You are solely responsible for your own investment decisions and their results. To the fullest extent permitted by law, Exponential Media and its owners, officers, employees, and contractors are not liable for any loss or damage, including trading losses, that comes from using or relying on our content. Use of this website is also governed by our Terms of Use.

We may update this disclaimer at any time by posting a new version on this page. The date at the top of the page shows when it last changed.
